Terms & Conditions

1. Platform Role & Legal Status

  • The Platform operates as an intermediary under the Information Technology Act.

  • It facilitates transactions between Buyers and Sellers.

  • The sale contract is between Intermediary, Buyer and Seller.

  • The Platform does not manufacture, own, or warehouse goods unless specified.

 

2. Eligibility & Registration

Users must:

  • Be registered business entities.

  • Provide valid GSTIN, PAN, and business details.

  • Operate through authorized representatives.

We may verify KYC details and suspend non-compliant accounts.

 

3. Legal & Regulatory Compliance

Users agree to comply with:

  • Goods and Services Tax laws

  • Sale of Goods Act

  • E-way bill & transport regulations

  • Environmental & packaging standards

 

4. Listings & Product Accuracy

Sellers must provide accurate specifications including GSM, dimensions, grade, moisture tolerance, and packaging details.

Misrepresentation may lead to suspension and liability.

 

5. Pricing, GST & Invoicing

  • Prices must clearly state GST inclusion/exclusion.

  • Sellers must issue GST-compliant invoices.

  • Buyers must verify eligibility for input tax credit.

 

6. Orders & Contract Formation

  • Orders become binding upon Seller acceptance.

  • Trade terms (EXW/FOB/CIF/Door Delivery) must be stated.

  • Custom or bulk production orders may be non-cancellable.

 

7. Payments & Escrow Protection

Payments may be made via bank transfer, UPI, gateway.

Escrow:

  1. Buyer deposits funds to Solaris PNP.

  2. Seller dispatches goods.

  3. Funds released after delivery confirmation.

  4. Disbursal may be delayed in case of dispute.

The Platform is not a bank or financial institution.

 

8. Insurance & Risk Transfer

Unless agreed otherwise:

  • Seller shall insure goods during transit.

  • Insurance should cover damage, moisture exposure, theft, and handling damage.

  • Under Ex-Works terms, Buyer bears insurance responsibility.

The Platform is not an insurance provider.

 

9. Inspection & Claims

Buyers must inspect goods at delivery and report discrepancies within 48 hours.

Failure to notify within this period constitutes acceptance.

 

10. Prohibited Conduct

Users shall not:

  • Provide false specifications

  • Evade tax obligations

  • Circumvent platform fees

  • Submit fraudulent claims

  • Manipulate pricing

 

11. Limitation of Liability

The Platform is not liable for:

  • product quality defects

  • transit damage

  • insurance claim outcomes

  • payment defaults

  • market price fluctuations

Liability is limited to margins made by the platform.

 

12. Suspension & Termination

Accounts may be suspended for fraud, legal violations, or misrepresentation.

 

13. Dispute Resolution

Disputes shall first be resolved amicably.
Unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act.

14. Governing Law

These Terms are governed by the laws of India.
